This End-User License Agreement ("EULA") is a legal agreement between you and Nodle International.

This EULA agreement governs your acquisition and use of our Nodle International software ("Software") directly from Nodle International or indirectly through a Nodle International authorized reseller or distributor (a "Reseller").

Please read this EULA agreement carefully before completing the installation process and using the Nodle International software. It provides a license to use the Nodle International software and contains warranty information and liability disclaimers.

If you are entering into this EULA agreement on behalf of a company or other legal entity, you represent that you have the authority to bind such entity and its affiliates to these terms and conditions. If you do not have such authority or if you do not agree with the terms and conditions of this EULA agreement, do not install or use the Software, and you must not accept this EULA agreement.

This EULA agreement shall apply only to the Software supplied by Nodle International herewith regardless of whether other software is referred to or described herein. The terms also apply to any Nodle International updates, supplements, Internet-based services, and support services for the Software, unless other terms accompany those items on delivery. If so, those terms apply. This EULA was created by EULA Template for Nodle International.

Our Software may present or facilitate access to third-party content, applications, features, or links ("Third-Party Materials"). When using Third-Party Materials or services through our Software, their terms govern your use, not ours. We are not liable for any third-party actions, content accuracy, legality, or any related aspect. Your use implies acknowledgment that we do not endorse, nor are we liable for, Third-Party Materials, services, or websites, which are offered solely for convenience.

In certain jurisdictions only, you may be offered the opportunity to purchase the NODL token via our partner Swipelux. Their services may not be available in all languages and may not be appropriate or available for use in any particular location. Eligibility for use of the Swipelux services will be determined by Swipelux in their sole discretion. In addition, we reserve the right to block access, suspend, remove, or cancel its services through our Services for any reason and without prior notice. The use of Swipelux services will be subject to transaction fees and/or other fees charged by Swipelux. The terms and conditions which will apply to the use of Swipelux services can be found here. Where you choose to purchase the Nodle token using payment by Swipelux we will be sharing some personal data (e.g. your Publick Key) with Swipelux that may request or require access to your personal data. Nodle has no responsibility for their use of your personal data. The processing of such data will be handled in accordance with the Swipelux privacy policy that is available here. It’s your responsibility to review and understand their terms and conditions and their privacy policy before using its services. We are not responsible for the access, content, accuracy, security, availability, any performance, or failure to perform of their services or any issue in relation with the use of their services. To the extent you choose to use their services, you are solely responsible for compliance with any applicable laws in relation to such use.

Nodle International hereby grants you a personal, non-transferable, non-exclusive licence to use the Nodle International software on your devices in accordance with the terms of this EULA agreement.

You are permitted to load the Nodle International software (for example a PC, laptop, mobile or tablet) under your control. You are responsible for ensuring your device meets the minimum requirements of the Nodle International software.

You are not permitted to:

Edit, alter, modify, adapt, translate or otherwise change the whole or any part of the Software nor permit the whole or any part of the Software to be combined with or become incorporated in any other software, nor decompile, disassemble or reverse engineer the Software or attempt to do any such things.

Reproduce, copy, distribute, resell or otherwise use the Software for any commercial purpose.

Allow any third party to use the Software on behalf of or for the benefit of any third party.

Use the Software in any way which breaches any applicable local, national or international law.

Use the Software for any purpose that Nodle International considers is a breach of this EULA agreement.

Nodle International shall at all times retain ownership of the Software as originally downloaded by you and all subsequent downloads of the Software by you. The Software (and the copyright, and other intellectual property rights of whatever nature in the Software, including any modifications made thereto) are and shall remain the property of Nodle International.

Nodle International reserves the right to grant licences to use the Software to third parties.

This EULA agreement is effective from the date you first use the Software and shall continue until terminated. You may terminate it at any time upon written notice to Nodle International.

This EULA agreement, and any dispute arising out of or in connection with this EULA agreement, shall be governed by and construed in accordance with the laws of Cayman Islands.
